Terms of Service

Zero Disruption IT, LLC (“ZDIT”) — the terms under which I provide AI integration consulting services.

By engaging my services or using this website, you agree to these terms. I keep them clear and concise.

Service Description

Zero Disruption IT provides AI integration consulting for small and mid-sized businesses. I design and implement AI-powered workflows, automations, and integrations into your existing tools — HubSpot, QuickBooks, Salesforce, Microsoft 365, Google Workspace, and similar platforms. Engagements are fixed-price and delivered according to a written Statement of Work (SOW). I do not sell strategy decks; I build working integrations.

Payment Terms

Payment structure varies by engagement type:

  • Discovery Sprint — 100% due at signing
  • QuickWin Pilot — 50% at signing, 50% upon completion
  • Larger packages (Efficiency Booster, Transformation) — 40% at signing, 30% at midpoint milestone, 30% upon completion
  • Retainers — due 1st of the month, Net 15
  • Workshops — due 7 days prior to session

Scope changes beyond the SOW require a written change order. Software/API licensing, hardware, travel, and out-of-scope work are billed separately. Every engagement starts with a mutually agreed SOW defining deliverables, timeline, and acceptance criteria.

Intellectual Property

Upon full payment, you own all deliverables produced under the engagement — custom code, workflows, documentation, and training materials. I retain rights to any pre-existing tools, templates, or methodologies I bring to the project. I do not claim ownership of your data, systems, or business processes.

Limitation of Liability

My total liability for any claim arising from an engagement is limited to the fees paid for that engagement. I am not liable for indirect, incidental, consequential, or punitive damages. I do not warrant that integrations will be error-free or uninterrupted; I warrant that delivered work will materially conform to the SOW. You are responsible for testing, backups, and compliance with your own policies and third-party terms.

Governing Law

These terms are governed by the laws of the State of Washington, USA. Any disputes arising from these terms or your engagement shall be resolved in the courts of Washington State.
